These Website Terms of Service (the "Terms") constitute a legally binding agreement between Golden Goat LLC, a Wyoming limited liability company, together with its subsidiaries, affiliates and successors (hereinafter referred to as the "Company," "we," "our," or "us"), and every individual or entity who accesses, browses, visits, registers for, or otherwise uses the Company's website, mobile application, smart television application or any other digital platform through which the Company makes audiovisual content available (collectively, the "Platform"). Every person accessing or using the Platform is referred to in these Terms as a "User," "you," or "your."
The Platform is an advertising-supported digital streaming service that enables Users to view licensed motion pictures, documentaries and other audiovisual content made available by the Company and its content licensors. Unless otherwise expressly stated, these Terms govern all access to and use of the Platform, including all features, functionality, content, software, applications, communications and services offered by or through the Platform.
1. Acceptance of Terms
By accessing or using the Platform in any manner, including by browsing the Platform, streaming content, creating an account, submitting information or otherwise using any service made available by the Company, you acknowledge that you have read, understood and agree to be legally bound by these Terms, together with our Privacy Policy, Copyright Policy and any other policies or guidelines that the Company may publish from time to time, each of which is incorporated into these Terms by reference.
If you do not agree to these Terms, you must immediately discontinue your access to and use of the Platform. Continued use of the Platform following the publication of any revised Terms shall constitute your acceptance of those revisions.
If you are accessing or using the Platform on behalf of a corporation, partnership, limited liability company, governmental entity or other legal person, you represent and warrant that you possess the full legal authority to bind that entity to these Terms, in which case the term "User" shall include both you and the entity you represent. If you do not possess such authority, you must not access or use the Platform on behalf of that entity.
The Company reserves the right to amend, modify or update these Terms at any time in its sole discretion to reflect changes in applicable law, technological developments, business operations or the services offered through the Platform. Where changes are material, the Company will make reasonable efforts to notify Users by posting the revised Terms on the Platform or by such other means as the Company considers appropriate. The revised Terms shall become effective on the date specified therein, and your continued use of the Platform after that date shall constitute your acceptance of the revised Terms.
These Terms shall remain in full force and effect for so long as you access or use the Platform, and any provisions which by their nature are intended to survive the termination of your use of the Platform shall continue in effect notwithstanding such termination.
2. Eligibility and User Accounts
Access to the Platform is intended solely for individuals who have the legal capacity to enter into a binding contract under the laws applicable in their jurisdiction. By accessing or using the Platform, you represent and warrant that you satisfy such legal requirements and that your use of the Platform does not violate any applicable law or regulation. If you are under the age of eighteen (18), or the age of legal majority in your jurisdiction, you may use the Platform only with the knowledge and supervision of a parent or legal guardian, who agrees to be bound by these Terms and assumes responsibility for your use of the Platform.
The Company reserves the right, at its sole discretion, to require Users to register an account in order to access certain features or services available on the Platform. Where an account is required, you agree to provide complete, accurate and current information during the registration process and to promptly update such information whenever necessary to ensure that it remains accurate.
You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account, whether or not authorized by you. You agree to notify the Company immediately upon becoming aware of any unauthorized access to or use of your account or any other breach of security. The Company shall not be liable for any loss or damage arising from your failure to safeguard your account credentials or to promptly report unauthorized use.
The Company reserves the right to refuse registration, suspend, restrict or terminate any account, or to deny access to the Platform, where it reasonably believes that a User has provided false or misleading information, violated these Terms, engaged in fraudulent or unlawful conduct, compromised the security or integrity of the Platform, or otherwise acted in a manner that may expose the Company, its licensors or other Users to legal liability or harm.
Unless expressly authorized in writing by the Company, each User may maintain only one personal account on the Platform. User accounts are personal to the registered User and may not be sold, transferred, assigned, shared or otherwise made available to any other person. The Company reserves the right to disable or terminate any account that is used in violation of this provision.
The Company may, from time to time, permit access to portions of the Platform without requiring registration. In such cases, these Terms shall apply with equal force and effect to all Users, whether registered or unregistered, and the absence of an account shall not limit the Company's rights or the User's obligations under these Terms.
3. Description of the Platform and Services
The Platform is an advertising-supported digital streaming service that provides Users with access to motion pictures, documentaries and other audiovisual content licensed or otherwise made available by the Company for online viewing. The content available through the Platform is intended solely for personal, private and non-commercial entertainment, unless the Company expressly authorizes a different use in writing.
The Company may make content available directly through its website or through mobile applications, smart television applications, connected television devices or other digital distribution channels now existing or subsequently developed. The availability of any particular film, feature, functionality or service may vary depending on the User's geographic location, device compatibility, technical requirements, applicable licensing restrictions or other operational considerations.
The Company reserves the right, at any time and without prior notice, to add, remove, replace, modify, suspend or discontinue any film, television programme, documentary, feature, functionality or portion of the Platform, whether temporarily or permanently, including where required by licensing agreements, legal obligations, technical considerations or business requirements. Nothing contained in these Terms shall be construed as guaranteeing that any particular content will remain available for any specific period.
The Company shall use commercially reasonable efforts to provide reliable access to the Platform; however, uninterrupted or error-free operation cannot be guaranteed. Access to the Platform may occasionally be interrupted or limited due to scheduled maintenance, software updates, security measures, system upgrades, network failures, equipment malfunctions, force majeure events or circumstances beyond the Company's reasonable control. Such interruptions shall not constitute a breach of these Terms or give rise to any liability on the part of the Company.
The Company may introduce additional services, features or functionality, including premium services, subscription offerings, rentals, purchases, live events or other digital products, at any time in its discretion. Unless expressly stated otherwise, such additional services shall also be governed by these Terms together with any supplemental terms applicable to the particular service.
The Company reserves the right to monitor the operation and use of the Platform for the purposes of maintaining security, improving performance, ensuring compliance with these Terms, protecting the rights of the Company and its licensors, preventing fraud or abuse, and complying with applicable legal and regulatory requirements.
4. Advertising and Monetization
The Platform is operated as an advertising-supported video-on-demand service. By accessing or using the Platform, you acknowledge and agree that audiovisual content may be preceded, interrupted or followed by advertisements, promotional messages, sponsorships or other commercial communications, and that the display of such advertising forms an integral part of the Company's business model and enables the Company to provide content to Users without requiring a subscription fee.
The Company reserves the right to determine, in its sole discretion, the nature, frequency, duration and placement of advertisements displayed on or in connection with the Platform and the content available thereon. Advertisements may be delivered by the Company or by third-party advertising partners and may vary based upon factors including geographic location, device type, viewing preferences, applicable law and other lawful considerations. The Company does not guarantee the availability or suitability of any particular advertisement and shall not be responsible for the products, services or representations made by advertisers or other third parties.
Unless expressly permitted in writing by the Company, Users shall not interfere with, disable, conceal, modify or circumvent any advertising displayed through the Platform or use any software, technology or method intended to prevent advertisements from being displayed or to interfere with the proper operation of the Platform. Any attempt to manipulate advertising impressions, generate fraudulent viewing activity or otherwise interfere with the Company's monetization systems may result in the immediate suspension or termination of the User's access to the Platform and may expose the User to civil or criminal liability where permitted by applicable law.
The Company may engage third-party service providers to deliver advertisements, measure audience engagement, analyze viewing activity, verify advertising performance and improve the operation of the Platform. The collection and processing of information in connection with such activities shall be governed by the Company's Privacy Policy and applicable data protection laws.
Nothing contained in these Terms shall be construed as creating any endorsement, sponsorship or recommendation by the Company of any advertiser, product or service displayed on the Platform, and Users acknowledge that any dealings with advertisers are solely between the User and the applicable third party, except to the extent otherwise required by applicable law.
5. Intellectual Property Rights
Unless otherwise expressly stated, the Platform, including its design, layout, software, source code, object code, databases, functionality, trademarks, service marks, trade names, logos, graphics, text, photographs, audiovisual works, compilations, user interface, documentation and all other content and materials made available through the Platform, together with all intellectual property rights therein, are owned by or licensed to the Company and are protected by applicable copyright, trademark and other intellectual property laws of the United States and applicable international treaties.
All motion pictures, documentaries, television programmes, trailers and other audiovisual content made available on the Platform remain the property of their respective copyright owners and are exhibited by the Company pursuant to licence or other lawful authority. Nothing contained in these Terms shall be construed as transferring or assigning any ownership interest in such content to any User.
Subject to these Terms, the Company grants each User a limited, personal, non-exclusive, non-transferable and revocable licence to access and stream the content made available on the Platform solely for the User's private, personal and non-commercial viewing. Except as expressly permitted by applicable law or with the Company's prior written consent, no User may copy, reproduce, modify, distribute, sell, sublicense, rent, lease, publicly perform, publicly display, broadcast, transmit, download, archive, create derivative works from, reverse engineer, decompile or otherwise exploit any portion of the Platform or its content for any commercial or unauthorized purpose.
Users shall not remove, alter, obscure or interfere with any copyright notice, trademark, digital watermark, metadata or other proprietary notice appearing on the Platform or contained within any content made available through the Platform. Likewise, Users shall not attempt to bypass, disable, defeat or interfere with any digital rights management technology, encryption, security feature or other technological measure used by the Company or its licensors to protect the Platform or its content.
Any unauthorized use of the Platform or its content shall constitute a material breach of these Terms and may result in the immediate suspension or termination of the User's access to the Platform, in addition to any other rights or remedies available to the Company or the applicable rights holder under contract, statute or common law.
Except for the limited licence expressly granted under these Terms, all rights not expressly granted to the User are reserved by the Company and its licensors.
6. User Conduct and Acceptable Use
The User agrees to access and use the Platform only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. The User shall not use the Platform in any way that interferes with its normal operation, compromises its security, infringes the rights of the Company, its licensors or any third party, or otherwise impairs the ability of other Users to access and enjoy the Platform.
Without limiting the generality of the foregoing, the User shall not knowingly upload, transmit, distribute or otherwise make available through the Platform any material that is unlawful, fraudulent, defamatory, obscene, abusive, threatening, harassing, hateful or otherwise objectionable, or that infringes the intellectual property rights, privacy rights, publicity rights or any other legal rights of another person or entity.
The User further agrees not to copy, record, reproduce, scrape, download, capture, redistribute, rebroadcast, sell, rent, sublicense, commercially exploit or otherwise use any content made available on the Platform except as expressly authorized by the Company or the applicable copyright owner. The use of screen-recording software, automated downloading tools, bots, spiders, crawlers or other automated means to access, monitor, harvest or extract content or data from the Platform without the Company's prior written consent is strictly prohibited.
The User shall not attempt to gain unauthorized access to any portion of the Platform, its servers, databases, networks or systems, nor shall the User introduce any virus, malware, ransomware, spyware, malicious code or other harmful technology that may damage, disable or impair the operation, security or integrity of the Platform or any connected systems.
The User shall not interfere with or circumvent any security feature, technological protection measure, digital rights management system, access control mechanism or other safeguard implemented by the Company or its licensors to protect the Platform or the content made available thereon.
Where the Platform permits the submission of comments, reviews, ratings or other user-generated content, the User remains solely responsible for the content submitted and represents that such content is accurate, lawful and does not violate the rights of any third party. By submitting such content, the User grants the Company a worldwide, non-exclusive, royalty-free licence to use, reproduce, display, publish and distribute the content solely for the operation, promotion and improvement of the Platform.
The Company reserves the right, but assumes no obligation, to investigate suspected violations of these Terms, remove any content, restrict access to the Platform, suspend or terminate User accounts and take any other action it reasonably considers necessary to protect the Platform, its licensors, its Users or its legal rights. The Company's failure to act in response to any particular violation shall not constitute a waiver of its right to enforce these Terms at any time.
7. Accessibility
The Company is committed to providing a digital streaming platform that is accessible and usable by the broadest possible audience, including individuals with disabilities. The Company endeavors to design, develop, maintain and improve the Platform in a manner that promotes accessibility and usability and to provide all Users with a meaningful opportunity to access and enjoy the services offered through the Platform.
The Company shall use commercially reasonable efforts to implement and maintain accessibility features that are consistent with generally recognized accessibility standards, including, where reasonably practicable, the Web Content Accessibility Guidelines (WCAG) as they may be updated from time to time. The Company recognizes that accessibility is an ongoing process and may periodically review, evaluate and enhance the Platform to improve accessibility, usability and compatibility with assistive technologies.
Users who experience difficulty accessing any portion of the Platform or any content made available through it are encouraged to notify the Company using the contact information provided on the Platform. Upon receiving such notice, the Company will use commercially reasonable efforts to investigate the reported issue and, where reasonably practicable, provide an alternative means of accessing the requested information or service or otherwise address the accessibility concern within a reasonable period.
While the Company is committed to continually improving accessibility, the User acknowledges that the Platform incorporates content, advertisements and services provided by independent licensors, advertisers and other third parties over whom the Company may have limited or no control. Accordingly, the Company does not warrant or guarantee that every aspect of the Platform or every item of third-party content will at all times conform to any particular accessibility standard, although the Company will use commercially reasonable efforts to encourage accessibility and to address issues within its control.
Nothing contained in this Clause shall be construed as limiting any rights or remedies that may be available under applicable law. Rather, this Clause reflects the Company's commitment to maintaining an inclusive and accessible digital environment and to responding in good faith to accessibility concerns raised by Users.
8. Copyright Policy and Notice of Claimed Infringement
The Company respects the intellectual property rights of others and expects all Users of the Platform to do the same. The Company will respond in good faith to notices alleging that content made available through the Platform infringes the copyright or other intellectual property rights of a third party and reserves the right to remove, disable access to or otherwise restrict the availability of any content where it reasonably believes such action is appropriate or required by applicable law.
Any copyright owner, or a person duly authorized to act on behalf of a copyright owner, who believes that any content available through the Platform infringes their copyright may submit a written notice to the Company's designated copyright agent. Such notice should include sufficient information to identify the copyrighted work claimed to have been infringed, identify the allegedly infringing material with sufficient detail to permit the Company to locate it, provide the complainant's name and contact information, include a statement that the complainant has a good-faith belief that the use of the material is not authorized by the copyright owner, its agent or the law, and include a statement, made under penalty of perjury where required by applicable law, that the information contained in the notice is accurate and that the complainant is authorized to act on behalf of the copyright owner.
Upon receipt of a facially valid notice, the Company may investigate the claim and, where appropriate, remove or disable access to the allegedly infringing content while the matter is reviewed. The Company may also notify the person or entity responsible for the content of the claim and, where applicable, provide an opportunity to submit a lawful counter-notification in accordance with applicable law.
The Company reserves the right to reject notices that are incomplete, inaccurate, fraudulent or otherwise fail to comply with the requirements of applicable law, and shall not be liable for declining to act upon such notices. Likewise, the Company reserves the right to restore content where it reasonably determines that the content does not infringe the asserted rights or where restoration is otherwise permitted or required by law.
The submission of knowingly false, misleading or fraudulent notices or counter-notifications may expose the submitting party to legal liability under applicable law. The Company reserves all rights and remedies available to it in respect of any abuse of the copyright complaint process.
Nothing contained in this Clause shall limit the Company's rights under applicable copyright laws or any separate Copyright Policy published on the Platform. Where the Company maintains a separate Copyright or Notice-and-Takedown Policy, that policy shall supplement and form part of these Terms.
9. Disclaimer of Warranties
The Platform and all content, features, functionality and services made available through it are provided on an "as is," "as available," and "with all faults" basis to the fullest extent permitted by applicable law. While the Company endeavors to provide a reliable, secure and enjoyable streaming experience, the Company makes no representation or warranty, whether express, implied or statutory, regarding the uninterrupted availability, accuracy, completeness, reliability, quality or suitability of the Platform or any content made available through it.
Without limiting the foregoing, the Company does not warrant that the Platform will operate without interruption, delay, error or security vulnerability; that defects will be corrected immediately; that the Platform will be compatible with every device, browser, operating system or internet connection; or that the Platform or its servers will always be free from viruses, malware or other harmful components, although the Company employs commercially reasonable measures to protect its systems.
The Company further does not warrant that every motion picture, television programme, documentary or other audiovisual work will remain available for viewing for any particular period. Content may be added, modified, suspended or removed at any time as a result of licensing restrictions, contractual obligations, legal requirements, technical issues or business considerations.
To the fullest extent permitted by applicable law, the Company expressly disclaims all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and quiet enjoyment. No oral or written information or advice provided by the Company or its representatives shall create any warranty not expressly stated in these Terms.
Nothing contained in this Clause shall exclude or limit any warranty or right that cannot lawfully be excluded or limited under applicable law. Where mandatory consumer protection laws apply, the disclaimers contained herein shall be interpreted only to the extent permitted by such laws.
10. Limitation of Liability
To the fullest extent permitted by applicable law, the Company, its parent companies, subsidiaries, affiliates, licensors, content providers, advertisers, officers, directors, employees, agents, contractors, successors and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including any loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data or interruption of business, arising out of or relating to the User's access to, inability to access or use of, or reliance upon the Platform or any content made available through it, whether such claim is based in contract, tort (including negligence), strict liability, statute or otherwise, even if the Company has been advised of the possibility of such damages.
Without limiting the foregoing, the Company shall not be responsible for any interruption of streaming services, delays in content availability, temporary or permanent removal of licensed content, internet or telecommunications failures, device incompatibility, unauthorized access to a User's account resulting from the User's failure to maintain the security of login credentials, or the acts, omissions, products or services of third-party advertisers, internet service providers, payment processors, hosting providers or other third parties whose services may be used in connection with the operation of the Platform.
To the fullest extent permitted by law, the aggregate liability of the Company arising out of or relating to these Terms or the User's use of the Platform shall not exceed the greater of (a) One Hundred United States Dollars (US$100.00) or (b) the total amount, if any, paid by the User directly to the Company during the twelve (12) months immediately preceding the event giving rise to the claim. Where the User has not paid any amount to the Company for access to the Platform, the User acknowledges that the foregoing limitation represents a reasonable allocation of risk between the Parties, having regard to the fact that the Platform is made available without charge.
The User acknowledges and agrees that the limitations and exclusions of liability contained in these Terms are fundamental elements of the agreement between the User and the Company, that the Platform would not be made available on the same commercial terms in the absence of such limitations, and that these provisions shall apply notwithstanding the failure of any limited remedy to achieve its essential purpose.
Nothing contained in these Terms shall exclude or limit the Company's liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by the Company's negligence, or any other liability that cannot lawfully be excluded or limited under applicable law.
11. Indemnification
The User agrees to defend, indemnify and hold harmless the Company, its parent companies, subsidiaries, affiliates, licensors, content providers, advertisers, officers, directors, employees, agents, contractors, successors and assigns from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, losses, fines, penalties, costs and expenses, including reasonable attorneys' fees and legal expenses, arising out of or relating to: (a) the User's access to or use of the Platform; (b) the User's breach of these Terms or any policy incorporated herein by reference; (c) the User's violation of any applicable law or the rights of any third party, including any intellectual property, privacy or publicity rights; (d) any content, information or material submitted, uploaded or otherwise transmitted by the User through the Platform; or (e) the User's fraudulent, negligent or willful misconduct.
The Company reserves the right, at its own expense and upon notice to the User, to assume the exclusive defence and control of any matter that is subject to indemnification under this Clause. In such event, the User shall fully cooperate with the Company in the investigation, defence and settlement of the claim and shall not settle any matter affecting the Company's rights or interests without the Company's prior written consent, which shall not be unreasonably withheld.
The indemnification obligations contained in this Clause shall survive the suspension or termination of the User's account, the cessation of the User's access to the Platform and the termination or expiration of these Terms to the extent necessary to resolve any claim arising from events occurring prior to such suspension, termination or expiration.
12. Suspension and Termination
The Company reserves the right, at its sole discretion and without incurring any liability, to suspend, restrict or terminate a User's access to the Platform, temporarily or permanently, where the Company reasonably believes that the User has violated these Terms, infringed the rights of the Company or any third party, engaged in fraudulent, unlawful or abusive conduct, attempted to interfere with the operation or security of the Platform, or otherwise acted in a manner that may expose the Company, its licensors, advertisers or other Users to legal liability or harm.
Where reasonably practicable, the Company may provide notice of the suspension or termination and, where appropriate, afford the User an opportunity to remedy the breach. Nothing in this Clause shall prevent the Company from taking immediate action where it reasonably considers such action necessary to protect the Platform, its Users, its licensors or its legal interests.
Upon termination of a User's access to the Platform, the User's right to access or use the Platform shall immediately cease. Any provisions of these Terms which by their nature are intended to survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution, shall remain in full force and effect.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of laws principles.
The Parties shall use good faith efforts to resolve any dispute arising out of or relating to these Terms through informal negotiations before commencing formal proceedings. If the dispute cannot be resolved within thirty (30) days after written notice of the dispute has been given, either Party may submit the dispute to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted before a single arbitrator in Sheridan, Wyoming, unless the Parties agree otherwise in writing, and the proceedings shall be conducted in the English language. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction.
Notwithstanding the foregoing, the Company may seek temporary, preliminary or permanent injunctive or equitable relief from any court of competent jurisdiction where such relief is reasonably necessary to protect its intellectual property rights, confidential information or other proprietary interests.
To the fullest extent permitted by applicable law, the User and the Company agree that any claim shall be brought solely in the individual capacity of the claimant and not as a plaintiff or class member in any purported class, collective or representative action, unless such waiver is prohibited by applicable law.
14. Miscellaneous
These Terms, together with the Company's Privacy Policy, Copyright Policy and any other policies expressly incorporated by reference, constitute the entire agreement between the User and the Company regarding the use of the Platform and supersede all prior or contemporaneous communications, negotiations and understandings relating thereto.
The Company may amend these Terms at any time by posting the revised Terms on the Platform. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms.
If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be deemed modified to the minimum extent necessary to render it enforceable or, if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.
No failure or delay by the Company in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy, nor shall any partial exercise of any right preclude any further exercise thereof.
The User may not assign or transfer any rights or obligations under these Terms without the Company's prior written consent. The Company may assign or transfer its rights and obligations under these Terms to any affiliate, successor or purchaser of all or substantially all of its business or assets without obtaining the User's consent.
The Company shall not be liable for any delay or failure to perform its obligations resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, governmental action, internet outages, cyberattacks or failures of third-party service providers.
These Terms may be accepted electronically, and electronic records relating to the acceptance of these Terms shall be admissible to the same extent as original written records to the fullest extent permitted by applicable law.
